Vibe96 Seller Agreement
Every builder who sells on Vibe96 signs this agreement when submitting a project. It sets out what Vibe96 may do with your project, what buyers receive, and how you are paid.
1. Who this agreement is between. This agreement is between you — the individual or company named at signing (“the Seller”) — and Royex Technologies LLC, Dubai, United Arab Emirates, which owns and operates the Vibe96 marketplace (“Vibe96”). It covers the project you are submitting (“the Project”): its source code, documentation, screenshots, demo and every later version you publish through Vibe96.
2. What you allow Vibe96 to do. You grant Vibe96 a worldwide, non-exclusive, royalty-bearing right, for as long as the Project is listed, to host, display, demonstrate, market, sell and deliver copies of the Project, and to grant buyers the license described in clause 3 on your behalf. You also allow Vibe96 to use the Project’s name, screenshots, demo and your public builder profile to promote the Project and the marketplace, and to run automated and human reviews of the code.
3. What buyers receive. Every buyer receives the Vibe96 Standard License in force on the day of purchase (published at vibe96.com/license). In short: one buyer may use, modify and deploy the Project for one end product, commercially, but may not resell, redistribute or publish the source code. You agree to those terms for every sale. A buyer’s license continues even if the Project is later delisted or this agreement ends.
3A. After delisting, and changes to the Standard License. Vibe96’s rights under clause 2 continue after delisting or termination so far as needed to deliver copies and updates to existing buyers, keep license records, provide support and handle refunds. Vibe96 will give Sellers 30 days’ notice of any new Standard License version that changes what buyers may do; the Seller may delist during that period.
4. Ownership. You keep the copyright and all other rights in the Project. Nothing in this agreement transfers ownership to Vibe96 or to buyers. You may sell the Project through other channels, but while it is listed on Vibe96 you will not offer it elsewhere at a lower price for the same license.
5. Your promises about the code. You confirm that: (a) you wrote the Project or hold all the rights needed to sell it this way; (b) it contains no code, design or content taken from a client, employer or third party without permission; (c) every open-source or third-party component is used in line with its license, and none of those licenses forbids commercial redistribution of the Project; (d) it contains no malware, hidden tracking, backdoors, license locks or code that sends data anywhere without the buyer’s knowledge; (e) it contains no secrets, API keys, passwords or personal data; and (f) the description, features, requirements and demo accurately represent what the buyer receives.
6. AI-generated code. Projects may be built with AI coding tools. You are responsible for the Project exactly as if you had written every line, including reviewing AI output for copied third-party code, security issues and license conflicts, and you confirm that the terms of the AI tools you used allow you to sell the output.
7. Price, commission and payouts. You set the price. Vibe96 keeps 35% of the gross sale price (before tax and any buyer fee) as its commission; the remaining 65% is yours. Payouts are made monthly on the 5th, in USD, by bank transfer, Wise or Payoneer, for the previous month’s sales, once your balance reaches the minimum payout shown in your dashboard. Taxes on your earnings are your responsibility. Vibe96 may change the commission for future sales with 30 days’ notice.
7A. Tax and identity checks. Vibe96 acts as supplier of record and collects VAT on sales where the law requires, and issues a monthly self-billed statement to the Seller. Sellers are responsible for tax on their earnings. Before payouts, Vibe96 may require proof of identity, bank ownership and tax status, and may hold payouts or refuse to work with Sellers subject to sanctions or AML concerns.
8. Refunds and chargebacks. Sales are final, except where Vibe96 decides a refund is due because the Project is materially not as described, does not work as documented, or breaches clause 5, or where the law requires one. If a sale is refunded or reversed by a chargeback, your share of that sale is deducted from your balance or future payouts.
9. Updates and support. For 12 months from each sale you will publish fixes for security issues and defects through Vibe96. For 30 days from each sale you will answer buyer support tickets within two business days. You will not ask buyers to pay outside Vibe96 for anything covered by the listing, nor move a Vibe96 buyer to another channel to avoid the commission. Repeated or serious breaches allow Vibe96 to pause or delist the Project and to hold payouts for the affected sales.
10. Audit, review and demo. You accept that the automated audit score, subscores and warnings are shown publicly on the listing, and that Vibe96 reviewers may request changes, reject a submission or remove a listing at their discretion. You will keep the published demo reachable while the Project is listed; Vibe96 checks it every 24 hours and pauses the listing after 72 hours unreachable.
11. Buyer information. Buyer details you see through Vibe96 may only be used to support and update the Project for that buyer. You will keep them confidential and handle them in line with applicable data-protection law and Vibe96’s privacy policy.
12. Responsibility if something goes wrong. You will cover Vibe96 against claims, losses and reasonable costs arising from a breach of clause 5 or 6, including any claim that the Project infringes someone else’s rights. Apart from that, neither party is liable to the other for indirect or consequential loss, and Vibe96’s total liability under this agreement is limited to the commission it earned from the Project in the 12 months before the claim.
13. Ending the agreement. Either party may end this agreement for the Project with 30 days’ notice. Vibe96 may end it immediately, delist the Project and hold payouts under review if you seriously breach clause 5, 6 or 9. When the agreement ends, the Project is removed from sale; buyers who purchased before that keep their license and their remaining update and support windows, and you keep your update and support duties for them.
14. Changes to this agreement. Vibe96 may publish a new version of this agreement. Changes that affect you apply to future sales after 30 days’ notice by e-mail or in your dashboard; the version you signed stays on record and applies to sales made under it.
15. Law and disputes. This agreement is governed by the laws of the Dubai International Financial Centre, and the DIFC Courts have exclusive jurisdiction. Before going to court, both parties will try to settle a dispute in good faith for 30 days.
16. Signing electronically. Typing your name, drawing your signature and submitting the Project is your legally binding signature of this agreement. Vibe96 records the version, date, time and IP address of your signature and accepts the agreement when the submission is received.
